1. SCOPE

These General Terms and Conditions (the “GTC”) apply to all products and services (the “Services”) provided by THYMES S.à r.l., a private limited liability company (société à responsabilité limitée) incorporated under Luxembourg law, having its registered office at 12C, Impasse Drosbach, L-1882 Luxembourg and registered with the Luxembourg Trade and Companies Register (Registre de commerce et des sociétés, Luxembourg) under number B130158 (“THYMES”).

The term “Client” refers to any natural or legal person purchasing or engaging THYMES for Services, whether acting as a consumer or in a professional capacity.

These GTC apply together with the quotation, proposal, purchase order, service agreement or other written offer issued by THYMES to the Client (the “Proposal”).

Acceptance of a Proposal constitutes acceptance of the version of these GTC identified in and provided with the Proposal.

In the event of any inconsistency between these GTC and a Proposal, the provisions of the Proposal shall prevail.

2. PROPOSALS, GTC VERSION AND ACCEPTANCE

Unless otherwise stated, all Proposals issued by THYMES are valid for 30 calendar days from their date of issue.

Prices are expressed in EUR and exclude VAT unless expressly stated otherwise. The applicable VAT rate will be added in accordance with Luxembourg law.

Production costs, products, materials, printing, furniture, accessories, transport, installation, contractors and third-party services are not included unless expressly specified in the Proposal.

Oral discussions, estimates or recommendations do not constitute a binding commitment until confirmed in writing by THYMES.

The Agreement between THYMES and the Client becomes effective upon written acceptance or signature of the Proposal by the Client.

Electronic acceptance, including acceptance by email or electronic signature, may constitute written acceptance.

Applicable version of the GTC

The GTC applicable to the Agreement are those identified by their version date in the Proposal and provided to the Client in a durable format, such as PDF, before or at the time of acceptance of the Proposal.

The Client is encouraged to retain a copy of the Proposal and the applicable GTC for future reference.

THYMES may amend these GTC from time to time. Any subsequent amendment shall apply only to future Agreements and shall not affect an Agreement already concluded, unless expressly agreed in writing by both Parties.

The version published on THYMES' website is made available for information and consultation. The version applicable to a specific Agreement is the version identified in and provided with the relevant Proposal.

3. SERVICES

THYMES provides creative, design and consultancy services which may include, without limitation:

  • Interior Design;

  • Interior Styling and Decoration;

  • Design Consultations;

  • Space Planning and Layout Design;

  • Interior Concepts;

  • Furniture and Bespoke Furniture Design;

  • Materials, Finishes, Furniture and Lighting Selection;

  • Sourcing and Procurement;

  • Project and Supplier Coordination;

  • Graphic and Communication Design;

  • Branding and Visual Identity;

  • Printed and Digital Communication Materials; and

  • other related creative or consultancy services agreed with the Client.

The precise scope of Services, deliverables, fees and, where applicable, estimated schedule will be specified in the relevant Proposal.

Services not expressly included in the Proposal are considered outside the agreed scope.

4. INTERIOR DESIGN AND STYLING

Where included in the Proposal, THYMES may develop concepts for furniture, decorative objects, lighting, artwork, curtains, carpets, finishes and other interior elements.

The design presentation may include mood boards, reference images, material selections, layouts, sketches, drawings, 3D visualisations and product recommendations.

Following approval of the design concept, THYMES may assist the Client in preparing a selection of products and materials, including information such as supplier, dimensions, indicative price and intended location.

Where the Client wishes to retain existing furniture, artwork or other items, THYMES may advise on their integration into the overall design.

THYMES does not guarantee the continued availability of any product or material proposed. Products may be discontinued, unavailable, subject to supplier lead times or affected by seasonal collections.

Where a proposed product becomes unavailable, THYMES may suggest a suitable alternative.

5. THIRD-PARTY SUPPLIERS AND PROCUREMENT

THYMES may recommend, source products from, communicate or coordinate with manufacturers, contractors, craftsmen, installers, retailers, suppliers and other external service providers (“Third-Party Suppliers”).

Unless expressly stated otherwise, Third-Party Suppliers remain independent from THYMES.

Quotations, prices, stock information, production times and delivery dates provided by Third-Party Suppliers are indicative and may change.

THYMES cannot guarantee prices, stock availability, manufacturing times or delivery dates controlled by Third-Party Suppliers.

Where THYMES purchases products or services on behalf of the Client, the applicable purchasing, handling, procurement or coordination conditions and any associated fees will be specified in the Proposal.

No order requiring payment to a Third-Party Supplier will be placed by THYMES without the relevant Client approval and/or payment where required.

6. CLIENT APPROVALS AND REVISIONS

The number of revisions included in each project will be specified in the Proposal.

Unless otherwise specified, a design stage includes one round of Client revisions.

A revision consists of reasonable adjustments to the presented proposal and does not constitute a complete change of the previously approved design direction.

Once a concept, layout, design direction or other project stage has been approved by the Client, substantial changes requested afterwards may constitute additional work.

Requests for alternatives, additional concepts, modifications to approved layouts, additional renders, additional meetings, site visits or other work outside the agreed scope may be subject to additional fees.

Additional work will be charged at the hourly rate or other fee specified in the Proposal or otherwise agreed in writing before the additional work is undertaken.

Changes requested by the Client may also affect the project schedule and third-party costs.

7. CLIENT RESPONSIBILITIES

The Client agrees to cooperate with THYMES in good faith and to provide all information reasonably required for the performance of the Services.

The Client is responsible for:

  • providing accurate dimensions, plans, technical information and project requirements where applicable;

  • providing access to the property when reasonably necessary;

  • communicating relevant budget limitations;

  • reviewing proposals and providing approvals or feedback within reasonable timeframes;

  • informing THYMES promptly of any change that may affect the project;

  • ensuring sufficient financing for the products, works and Services approved; and

  • ensuring that information supplied to THYMES is accurate and complete.

Delays in providing information, approvals, access or decisions may result in corresponding changes to the project schedule.

8. DRAWINGS, PLANS AND TECHNICAL INFORMATION

Unless expressly stated otherwise in the Proposal, plans, layouts, sketches, drawings and technical indications prepared by THYMES communicate design intent.

They are not architectural, structural or engineering execution drawings and should not be used by contractors as the sole basis for construction.

Contractors and other qualified professionals remain responsible for verifying dimensions, technical feasibility, building conditions, structural requirements, applicable regulations and execution details before commencing work.

THYMES does not provide architectural, structural engineering, electrical engineering or other regulated professional services unless expressly agreed and performed through an appropriately qualified professional.

9. VISUALISATIONS, COLOURS AND MATERIALS

THYMES makes reasonable efforts to represent its design proposals accurately.

However, photographs, renders, drawings, samples and digital representations are illustrative and may differ from the final physical result.

Colours, textures, dimensions, patterns, finishes and materials may appear differently depending on screens, printing, lighting conditions, manufacturing processes and natural variations.

Where colour or material accuracy is important, THYMES recommends that the Client approves physical samples before final purchase or production.

3D renders and visualisations are representations of design intent and are not photographic guarantees of the completed project.

10. FEES AND PAYMENT

The applicable fees, payment schedule and payment method will be specified in the Proposal.

Unless otherwise specified, invoices are payable within 14 calendar days from their date of issue.

Products, materials, furniture, printing, production or other third-party costs requiring advance payment may be invoiced before an order is placed.

THYMES reserves the right to suspend Services and withhold deliverables where an invoice remains unpaid after its due date, subject to applicable law.

For professional Clients, late payments may be subject to the interest and recovery provisions applicable under Luxembourg law.

Any reasonable objection relating to an invoice should be communicated to THYMES in writing as soon as possible.

11. PROJECT SCHEDULE AND DELAYS

Any project starting date, completion date, production schedule or delivery date communicated by THYMES is an estimate unless expressly agreed in writing as a binding deadline.

Schedules may be affected by Client approvals, modifications, Third-Party Suppliers, product availability, production, transport, site conditions and other circumstances outside THYMES' reasonable control.

THYMES will make reasonable efforts to inform the Client of significant delays of which it becomes aware.

Delays attributable to the Client, including delays in providing information, approvals, decisions, access or payments, may result in an extension of the project schedule.

12. FINAL DELIVERABLES

The final deliverables provided by THYMES will be those specified in the Proposal.

Deliverables may be supplied digitally in PDF or another appropriate format.

Editable or original working files, including source design files, CAD files, 3D models and other production files, are not included unless expressly specified in the Proposal.

Once the agreed deliverables have been provided, changes based solely on a change of preference or design direction by the Client will be treated as additional work.

13. INTELLECTUAL PROPERTY

Unless otherwise expressly agreed in writing, all concepts, designs, drawings, layouts, illustrations, visual identities, graphics, renders, presentations, documents and other creative work developed by THYMES remain the intellectual property of THYMES.

Upon full payment of the relevant fees, the Client receives the right to use the final approved deliverables for the purpose for which they were commissioned.

Preliminary concepts, rejected proposals, working files and unused creative directions remain the exclusive property of THYMES and may not be reproduced or exploited by the Client without prior written authorisation.

The Client may not sell, license, reproduce for commercial resale or transfer THYMES' creative work to third parties beyond the purpose agreed without THYMES' prior written consent.

14. PROJECT PHOTOGRAPHY AND PORTFOLIO USE

THYMES may wish to photograph or otherwise document completed projects for its portfolio, website, social media, publications, awards and other promotional purposes.

For private residential projects, identifiable photographs of the Client's property will only be published with the Client's prior consent.

Where consent is provided, THYMES will respect any agreed requirements regarding anonymity, privacy or identification of the property.

The Client may withdraw consent for future use of identifiable photographs by contacting THYMES, without affecting uses already lawfully made before the withdrawal.

THYMES retains the right to display its own creative work, drawings and designs in a manner that does not disclose confidential or personal information relating to the Client.

15. CONFIDENTIALITY

Each Party may receive confidential, proprietary, commercial or technical information belonging to the other Party.

Each Party agrees to keep such information confidential and not to disclose it to third parties except where:

  • disclosure is necessary for the performance of the Agreement;

  • disclosure has been authorised by the other Party;

  • the information is already lawfully in the public domain; or

  • disclosure is required by law, a court or competent authority.

Where necessary to perform the Services, THYMES may share relevant project information with Third-Party Suppliers involved in the project.

16. LIABILITY

THYMES undertakes to perform the Services with reasonable professional care and competence.

THYMES is responsible for its own Services but cannot be held responsible for acts, omissions, delays, workmanship, manufacturing defects or contractual failures attributable to independent Third-Party Suppliers.

THYMES is not responsible for:

  • inaccurate information supplied by the Client;

  • changes made to the design without THYMES' approval;

  • work executed contrary to THYMES' design intent or recommendations;

  • technical decisions that fall within the responsibility of architects, engineers, contractors or other regulated professionals;

  • product discontinuation or stock shortages;

  • supplier price changes;

  • differences inherent to natural materials or manufacturing processes; or

  • delays outside THYMES' reasonable control.

Nothing in these GTC excludes or limits liability where such exclusion or limitation is prohibited by applicable law, particularly mandatory consumer protection legislation.

For professional Clients, and to the extent permitted by law, THYMES shall not be liable for indirect or consequential commercial losses arising from the Agreement.

17. FORCE MAJEURE

Neither Party shall be liable for failure or delay in performing its contractual obligations where caused by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, fire, flood, epidemic, strikes, transport disruption, interruption of energy supply, shortage of materials, governmental measures or comparable events.

The affected Party shall inform the other Party within a reasonable period.

If such circumstances prevent performance for an extended period, the Parties will seek an appropriate solution in good faith, which may include suspension or termination of the affected Services.

18. TERMINATION

Either Party may terminate the Agreement in the event of a serious breach by the other Party that is not remedied within a reasonable period following written notice.

The Client may also terminate a project before completion by written notice, subject to any mandatory rights applicable to consumer Clients.

In such circumstances, the Client remains responsible, to the extent permitted by applicable law, for:

  • Services performed up to the termination date;

  • approved work in progress;

  • non-cancellable commitments made with the Client's approval;

  • products or services already ordered; and

  • reasonable third-party costs incurred by THYMES in connection with the project.

Upon termination and payment of all outstanding amounts, THYMES will provide any completed deliverables to which the Client is entitled under the Agreement.

Clauses relating to intellectual property, confidentiality, payment obligations and data protection shall continue to apply where relevant after termination.

19. CONSUMER RIGHT OF WITHDRAWAL

Where the Client is a consumer and the Agreement is concluded at a distance or outside THYMES' business premises, the Client may have a statutory right to withdraw from the Agreement within 14 calendar days from the date on which the Agreement is concluded, without giving any reason, in accordance with applicable Luxembourg consumer law.

The Client may exercise this right by sending THYMES an unambiguous written statement communicating the decision to withdraw.

Starting the Services during the withdrawal period: The Client may expressly request THYMES to begin providing the Services before the end of the statutory 14-day withdrawal period.

Where the Client makes such an express request and subsequently exercises the right of withdrawal after THYMES has begun providing the Services, the Client may be required, in accordance with applicable law, to pay an amount proportionate to the Services performed up to the time THYMES is informed of the Client's decision to withdraw.

Where the Services have been fully performed during the withdrawal period following the Client's prior express request and acknowledgement of the consequences provided for by applicable law, the statutory right of withdrawal may cease to apply.

If the Client does not expressly request THYMES to begin providing the Services during the withdrawal period, THYMES reserves the right to commence the Services only after the statutory withdrawal period has expired.

Nothing in these GTC limits or excludes any mandatory consumer right provided by applicable law.

20. DATA PROTECTION

THYMES processes personal data necessary to establish, manage and perform its contractual relationship with the Client.

Personal data may include:

  • name and contact details;

  • professional details where applicable;

  • information relating to the Client's project;

  • property information;

  • correspondence;

  • billing and transaction information; and

  • other information voluntarily provided by the Client where necessary for the Services.

THYMES processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Luxembourg data protection legislation.

Depending on the purpose concerned, processing may be based on performance of the Agreement, compliance with a legal obligation, THYMES' legitimate interests or the Client's consent.

Personal data may be shared, where necessary, with professional advisers, accounting providers, IT providers, contractors, suppliers and other service providers involved in performing or administering the Agreement.

Personal data will only be retained for as long as necessary for the purposes for which it was collected and for any additional period required by applicable legal, accounting or regulatory obligations.

Data Subjects may, subject to applicable legal conditions, request access, rectification, erasure, restriction of processing or portability of their personal data and may object to certain processing.

Data Subjects also have the right to lodge a complaint with the Commission Nationale pour la Protection des Données (CNPD).

21. CONSUMER COMPLAINTS AND MEDIATION

In the event of a complaint, the Client should first contact THYMES in writing so that the Parties can attempt to resolve the matter amicably.

Consumer Clients may, where applicable, use an authorised consumer dispute resolution body.

In Luxembourg, disputes between a consumer and a professional may be submitted to the Service national du Médiateur de la consommation, subject to the applicable eligibility requirements and procedures.

Participation in mediation does not prevent either Party from exercising any rights available under applicable law.

22. ENTIRE AGREEMENT

The Proposal, the version of these GTC identified in the Proposal, and any annexes or subsequent written amendments constitute the entire agreement between THYMES and the Client regarding the relevant Services.

Any amendment to the agreed scope, fees or material contractual conditions must be confirmed in writing.

23. SEVERABILITY

If any provision of these GTC is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

24. GOVERNING LAW AND JURISDICTION

These GTC and the Agreement are governed by the laws of the Grand Duchy of Luxembourg.

For professional Clients, unless otherwise required by mandatory law, the courts of the Grand Duchy of Luxembourg shall have jurisdiction over disputes arising from the Agreement.

For consumer Clients, the competent courts shall be determined in accordance with applicable mandatory consumer protection and jurisdiction rules.
